The Hellenic Competition Commission (HCC) will meet on July 13, 2023 to consider, following the relevant Rapporteur’s Opinion, the overdue submission of a merger notification, in accordance with article 6 par. 4 in combination with article 6 par. 1 and 2 of Greek Competition Act, Law 3959/ 2011, which results in a change of control over the company SYNERGAZOMENI PANTOPOLES S.A., from the sole control of the company ELLINIKA MARKET S.A. in the sole control of the company ANEDIK KRITIKOS S.A., in the Greek Super Markets Sector.
According to the Rapporteur’s Opinion, it is proposed to HCC to conclude the overdue notification of the concentration, regarding the acquisition of sole control by company ANEDIK KRITIKOS over SYNERGAZOMENI PANTOPOLES (and which proposed acquisition , the HCC approved with its Decision No. 803/2022), in violation of article 6 par. 1 of Law 3959/2011 and to impose on ANEDIK KRITIKOS, as liable for the overdue notification, a fine, as provided for in article 6 par. 4 of Law 3959/2011.
The Rapporteur’s Proposal is not binding on the HCC, which will decide on the basis of the available facts and the views of the parties during the hearing process.
