By its Decision no 840/2024 adopted on the 19th of January 2024, the Hellenic Competition Commission, in Chamber, unanimously approved the concentration concerning the acquisition of joint control by the companies under the names “TOURISM ENTERPRISES OF MESSINIA S.A.”, “LITTI ENTERPRISES COMPANY LIMITED” and “INTRACOM S.A. HOLDINGS” over the company under the name “ATHENS BEACH CLUB SINGLE MEMBER S.A.”, within the meaning of Article 5 (2) (b) of Law 3959/2011.
The above concentration concerns the market for organised beaches where at least umbrellas and sunbeds are available for rent and, at the same time, where one or more health regulated establishment(s) operate(s), in which the joint - target undertaking is active.
None of the notifying parties[1] operates an organised beach in the prefecture of Attica, and TEMES operates an organised beach only in front of its hotels, located in the prefecture of Messinia.
Therefore, there are no affected markets at a horizontal and/or vertical level in the concentration considered, as the following statutory criteria are not cumulatively met in any relevant market: a) activity of at least two (2) of the parties to the concentration and a combined market share of at least 15% (regarding the horizontally affected markets) or b) activity of at least one of the parties to the concentration and a combined market share of at least 25% (regarding the vertically affected markets ).
In view of the above considerations, the Hellenic Competition Commission, in Chamber, unanimously approved the concentration notified pursuant to article 8 (3) of Law 3959/2011 concerning the acquisition of joint control by the companies under the names “TOURISM ENTERPRISES OF MESSINIA S.A.”, «LITTI ENTERPRISES COMPANY LIMITED» and “INTRACOM S.A. HOLDINGS” over the company under the name “ATHENS BEACH CLUB SINGLE MEMBER S.A.” as, although falling within the scope of article 6(1) of Law 3959/2011, it does not raise serious concerns as to its compatibility with competition rules in the markets concerned.
