Clearance decision on the notified concentration, pursuant to articles 5-10 of Law 3959/2011, concerning the acquisition by “BC Partners Management GR Limited” of indirect sole control over “AKMI Educational S.A.” and “Metropolitan College Educational S.A.”, within the meaning of Article 5 (2) (b) of Law 3959/2011, following the relevant Statement of Objections by the Commissioner-Rapporteur Pantelis Borovas.

Operative part of the Decision

The Hellenic Competition Commission (HCC), in Plenary sitting, unanimously approved, pursuant to Article 8 (3) of Law 3959/2011, the notified concentration under ref. no. 2608/29.03.2023 concerning the acquisition by “BC Partners Management GR Limited” of indirect sole control over “AKMI Educational S.A.” and “Metropolitan College Educational S.A.” as, albeit falling within the scope of Article 6 (1) of Law 3959/2011, it does not raise serious concerns as to its compatibility with competition rules in the individual markets concerned thereby.

Summary of Decision

The above transaction does not lead to horizontal overlaps as BC Partners and the companies controlled thereby are not active in the wider adult education and training market in Greece. Furthermore, this transaction does not bring about any vertical effects as the activities of one party to the transaction are not carried out in a market which is upstream or downstream from that of the other party to the transaction. The HCC, by its decision, concluded that the concentration is not expected to bring about any change in the relevant markets concerned.
