Operative part of the Decision

The Hellenic Competition Commission (HCC), in Plenary sitting, unanimously approved, according to Article 8 (3) of Law 3959/2011, the notified concentration under ref. no 7412/28.09.2023 concerning the acquisition by “MYTILINEOS S.A.” of sole control over “IMERYS BAUXITES S.A.” as, albeit falling within the scope of paragraph 1 of Article 6 of Law 3959/2011, it does not raise serious concerns as to its compatibility with competition rules in the individual markets concerned thereby.

The concentration examined is vertical in nature as the parties to the transaction operate at different levels of the supply chain. In the light of the evidence in the case file, it is estimated that the conditions for input or customer foreclosure of the new entity’s competitors are not met.
